ANNUAL MEETING OF THE MEMBERS

DRAFT MINUTES

THURSDAY, AUGUST 9, 2007 at 11:30 am STAFFORD’S PIER 

Present: Bob Sandford, Joey Arbaugh, Michael Esposito, Denise Simon, Al Dika, Margie FitzSimons, Maureen Nicholson, Charles O’Neill, Jim Bartlett, Kathie Breighner, Jack Deegan, Kathy Erber, Joan Fenton, Doug Fuller, Mary Ellen Hughes, Paul Mooradian, Doug Tayler, Tom Gallagher, Danna Widmar, John Marshall, Charlie MacInnis, David Jones, Chuck Otis, Jeff Reider, Brianna Girard, Dave Irish, Carolyn Sandford, Justin Bassett, Leslie Burk, Kelly Trierweiler. 

The meeting was called to order at 11:50 a.m. by Chairperson Denise Simon. Lunch was served during the meeting.

Minutes.

Joey Arbaugh moved, with a second by Tom Gallagher, to approve the minutes of the 2006 annual meeting. Motion carried. 

Amendment to Articles of Incorporation.

It was recommended by our insurance agent and approved by legal counsel that we add a phrase to the articles stating that all applicable insurance goes into effect before the assets of the corporation. Jim Bartlett moved, with a second by Jack Deegan, to approve the change. Motion carried. 

Finance Report.

Treasurer Michael Esposito reported that the organization is in good financial health. Grant applications and grant funds continue to be a priority. Day-to-day financial management is handled by Danna Widmar and Preston McGregor with quarterly reviews by Donna Weber. Sara Smith oversees the tax return. Goals are set to reach a certain percentage of fundraising at specific dates throughout the year. This year’s fundraising is on track to meet goals.  Total fundraising goal for 2007 is $117,000. 

Status of HARBOR, Inc.

Danna presented an overview of where the organization began and where it is today.  Organization initiatives include recreation and open space, transportation evaluation, housing awareness, and knowledge systems. The organization continues to grow with increased areas of interest and increased volunteer efforts. 

Board of Director Nominations. Secretary Kathie Breighner presented the slate of board members for election: new members Justin Bassett and Charlie MacInnis, and returning members Dan Branson, Kathy Erber, Doug Fuller, Mary Ellen Hughes, Paul Mooradian, and Doug Tayler. Kathie Breighner moved, with a second by Jim Bartlett, to elect the board members. Motion carried. 

The meeting was adjourned at 1PM.
